This document contains the tailored Supplemental Education Terms & Conditions, Cadaver Lab Code of Conduct, Web Consent Text, and Standalone Privacy Policy designed to supplement Bonebridge's core commercial GTC.
Component 1: Supplemental Education Terms & Conditions
These supplemental terms function seamlessly alongside the standard Bonebridge commercial GTC, introducing specific provisions governing educational sponsorships, international logistics, digital intellectual property, and institutional liability.
1. Scope and Relationship to General GTC
These Supplemental Education Terms & Conditions apply exclusively to all fellowship programs, educational courses, educational grants, digital distribution channels, and application mechanisms managed via the Bonebridge Education platform. For standard medical device product sales, logistical procurement, and general corporate business relations, Bonebridge’s General Terms and Conditions remain fully applicable and unchanged.
2. Fellowship Funding, Logistics, and Budget Caps
- Scope of Funding: Selected fellows will receive financial support and sponsorship strictly limited to the pre-approved items explicitly listed in their official written acceptance documentation.
- Travel and Upgrades: Sponsorship funding is restricted to one (1) round-trip economy-class flight ticket from the fellow’s declared home country to Switzerland (or alternative pre-specified course destination), strictly capped at the maximum pre-approved budget limit. Any expenses exceeding this budget cap, or optional programmatic upgrades (e.g., Business Class travel, extended hotel stays), must be borne entirely by the fellow.
- Accommodation: Standard local lodging will be arranged, secured, and paid for directly by Bonebridge (or its designated event partners) for the official, non-extended duration of the educational program only.
- Stipend and Tax Disclaimers: Any cash stipend provided to cover local living expenses, meals, or ancillary incidentals is paid gross. In full compliance with international treaties and local statutory tax laws, fellows are solely and strictly responsible for declaring this income and paying all applicable local income taxes, social security contributions, or governmental levies in their country of tax residence. Bonebridge will not withhold taxes, nor act as a fiscal withholding agent, on behalf of international fellows.
3. Passport, Visas, and Border Admissions
Securing and maintaining a valid passport and all necessary entry, transit, or residence visas (including but not limited to Swiss Schengen Visas or Cantonal Authorization documents) is the sole and exclusive responsibility of the applicant. Bonebridge will issue an official invitation letter to support the administrative visa application process but explicitly does not guarantee visa approval by Swiss or alternative international consular authorities. If an entry visa is delayed, denied, or revoked by immigration authorities, Bonebridge bears no liability, will not owe financial compensation, and reserves the statutory right to immediately cancel the fellowship slot.
4. No-Show, Mandatory Attendance, and Cost Reimbursement
By accepting an educational fellowship slot, the applicant legally commits to attending the entire scheduled curriculum. If a fellow unilaterally cancels their participation after non-refundable travel arrangements (including flights, lodging, or lab venue slots) have been financially booked, or fails to arrive at the designated training facility ('No-Show') without providing independently verifiable, documented proof of a severe medical emergency, the fellowship will be permanently and immediately revoked. Bonebridge reserves the strict right to demand full financial reimbursement from the fellow for all non-refundable costs and institutional penalties incurred due to the cancellation.
5. Digital Media Content and Global YouTube Disclaimers
Educational Use Only: All digital assets, surgical videos, webinars, podcasts, and media hosted on the Bonebridge website or syndicated official streaming channels (including YouTube) are strictly for educational and informational purposes. They do not constitute formal clinical medical advice, operational surgical mandates, or patient-specific guidelines, and explicitly do not replace formal medical certification, university training, or product-specific operating instructions.
Copyright and Digital Protection: While educational media is made free to access, stream, and view online, downloading, ripping, scraping, republishing, or commercially distributing this content without the express prior written consent of Bonebridge is strictly prohibited. All copyrights, intellectual property rights, trademarks, and proprietary data remain exclusively with Bonebridge.
6. Governing Law and Exclusive Jurisdiction
These supplemental terms are governed exclusively by Swiss Law, without regard to conflict of laws principles. In the event of an unresolved legal dispute arising from these terms or educational participation, the exclusive place of jurisdiction shall be the Zug, Switzerland.
7. Healthcare Compliance and Anti-Bribery
Participation in the Fellowship or any educational course is granted based solely on academic merit, clinical qualifications, and educational need. Bonebridge explicitly states that the provision of funding, travel, accommodation, or educational materials is not intended, nor shall it be construed, as an inducement, reward, or incentive to purchase, lease, recommend, use, or prescribe any Bonebridge medical devices or products. The selection of fellows is entirely independent of any commercial sales activities.
8. Intellectual Property and Product Improvements
By participating in the educational program and utilizing Bonebridge products or facilities, the participant agrees that any modifications, design improvements, new surgical methodologies, or derivative inventions relating directly to Bonebridge’s proprietary products or technology that are conceived or developed during the training shall be disclosed to Bonebridge. Bonebridge shall retain all global intellectual property rights, titles, and interests in modifications to its own proprietary products, subject to local statutory patent laws regarding joint inventorship.
Component 2: Cadaver Lab Liability Waiver & Conduct Code
This framework governs hands-on wet lab training involving human anatomical specimens. It must be accepted digitally during online application/registration and should be printed out for a physical handwritten signature prior to lab entry on Day 1.
1. Venue Compliance and Medical Ethics
By participating in the hands-on wet lab or surgical training hosted, managed, or organized by Bonebridge, the participant agrees to strictly comply with all applicable local, state, and national statutes, medical ethics codes, and anatomical tissue laws in force at the training location (including, but not limited to, the Swiss SAMW guidelines in Switzerland; the Uniform Anatomical Gift Act and OSHA standards in the United States; or the relevant State Anatomy and Human Tissue Acts in Australia). The participant further commits to absolute adherence to all internal safety, operational, and bio-containment protocols established by the host facility.
2. Ethical Conduct and Reverence
The participant acknowledges that `they will be working directly with human anatomical specimens (cadavers). The participant agrees to treat all biological specimens, body donors, and associated tissues with the absolute highest level of professional respect, scientific dignity, and ethical reverence at all times.
3. Absolute Media Ban & Anatomical Privacy
CRITICAL COMPLIANCE NOTICE: ZERO-TOLERANCE POLICY
Participants are strictly prohibited from taking photographs, recording videos, or capturing audio inside the laboratory facility using personal electronic devices (including smartphones, cameras, recording wearables, or tablets). Publication or distribution of any imagery containing human anatomical specimens, cadavers, or body donors on social media, websites, or private digital networks is strictly illegal. Violation of this rule results in immediate expulsion from the course without a refund, a permanent lifetime ban from future Bonebridge programs, and immediate referral to Swiss federal and cantonal authorities for criminal breach of statutory privacy and medical ethics laws.
4. Assumption of Risk & Comprehensive Liability Waiver
The participant explicitly acknowledges that practical surgical training and wet lab attendance involve inherent physical risks. These include, but are not limited to, accidental cuts or punctures from sharp surgical instruments, exposure to chemical fixatives/preservatives, and slips or falls within a laboratory setting. To the maximum extent permitted under Article 100 of the Swiss Code of Obligations (OR), Bonebridge explicitly excludes all contractual and tortious liability for personal injury, statutory illness, property damage, or consequential financial loss sustained during the training, except in cases of proven gross negligence or unlawful intent directly attributable to Bonebridge.
5. Safety Compliance & Personal Protective Equipment (PPE)
The participant agrees to wear all mandatory Personal Protective Equipment (PPE) and adhere strictly to the specialized laboratory dress code enforced by the facility. Bonebridge and the host laboratory directors reserve the unconditional right to deny entry to the lab—without any right to financial refund, credit, or programmatic compensation—if the participant fails to comply with safety protocols, displays negligent behavior, or disregards direct operational instructions.
6. Authorized Institutional Photo & Video Release
Permitted Channels: The participant grants Bonebridge the irrevocable right to capture authorized marketing, journalistic, and educational media during the course. The participant agrees that media containing their likeness may be published on Bonebridge's official corporate websites, institutional social media feeds, and public streaming channels globally, free of charge and in perpetuity, waiving all rights to commercial royalties or prior editorial approval.
Anatomical Privacy Guarantee: In strict compliance with Swiss medical data protection laws and donor anonymity standards, Bonebridge guarantees that no human anatomical specimens, cadavers, or body donors will be visible, identifiable, or featured in the background of any published photographs or videos containing the participant.
Right of Revocation: Under the Swiss Federal Act on Data Protection (FADP), participants retain the legal right to revoke this media consent at any time for future uses by submitting a written notice. Upon receipt, Bonebridge will apply commercially reasonable efforts to blur, redact, or remove the participant's likeness from public platforms within a reasonable operational timeframe.
